Terms of Service

Effective October 9, 2026

CueHound is a product of Toronado Entertainment, LLC, a Florida limited liability company with principal office at 219 E N Blvd, Ste C #3111, Leesburg, FL 34748, Lake County, USA (“we”, “us”). These Terms govern your use of the CueHound app at app.cuehound.com, cuehound.com, the free web teleprompter and the updates list, and, when they launch, CueHound paid plans. You agree to these Terms when you create an account or accept an invite. You must be 18 or older and able to enter into a contract.

Please read section 9. It says disputes are resolved by individual arbitration rather than in court or as a class action, and explains how to opt out.

1. The website and free web teleprompter

The free web teleprompter is provided at no charge. It runs in your browser and does not send your script to us. You are responsible for the content you display with it.

2. The CueHound beta

The CueHound app is in open beta. Anyone may create an account; you don’t need to be on the updates list. The beta is free. Paid plans and AI features are not available yet. When paid plans launch, nobody is charged automatically. Continuing after the beta requires you to choose a plan.

The beta is provided as is, with no service-level agreement. Features may change, and data may be lost. You can download a copy of your account information and of workspaces where you are the only member from your account settings. Keep your own copy of anything important.

We may change, suspend or end the beta. Unless we have to act sooner for security or legal reasons, we will email account holders at least 30 days before we end the beta or delete beta workspaces, and on request we will send you a copy of your workspace content before it is deleted.

3. Your account and acceptable use

You sign in with a link we email to you. Anyone who can open your email can sign in as you, so keep your email account secure, and don’t share sign-in links. Give accurate information. You are responsible for activity under your account. Workspace owners control who joins their workspace and what role they have, and are responsible for the people they invite.

You agree not to:

We may suspend or close accounts that break these rules.

4. Paid plans (when they launch)

No paid plans are offered yet. The beta is free and nobody is charged. Prices will be shown on our pricing page only when paid plans launch. When they do, these terms will apply to them:

5. AI features

AI features are not available yet. Before they launch, we will update these Terms and our Privacy Policy. When they launch, AI suggestions can be wrong: nothing an AI suggests will take effect until a person accepts it, and you are responsible for what you accept and use.

6. Your content and other people’s information

You keep ownership of what you put into CueHound (“Your Content”). You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, sync, display and transmit Your Content only to provide, secure and fix CueHound for you and your workspace. The licence ends when Your Content is deleted. We do not sell Your Content or use it for advertising. If you send us feedback, we may use it without obligation to you.

If you add information about other people, such as crew or talent names, you confirm you have the right to do so and that you have given them any notice the law requires. Don’t add special categories of information (such as health data) unless you have a lawful basis to do so.

Data processing. For personal information in Your Content, the workspace owner (or the organisation they act for) is the controller, and we are its processor. We will:

7. Availability, warranties and liability

CueHound and this website are provided as is and as available. We do not guarantee that the service will be uninterrupted or error-free. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. For live shows, keep a backup plan.

To the extent the law allows, we are not liable for indirect, incidental, special or consequential damages, including a missed or disrupted show or lost profits, revenue or data. Our total liability for all claims relating to CueHound is limited to the greater of what you paid us in the 12 months before the claim and US$100. Nothing in these Terms limits liability that cannot be limited by law.

You will defend and indemnify us against claims by third parties arising from Your Content or from your breach of these Terms.

8. Ending your use, and changes to these Terms

You can stop using CueHound at any time and delete your account in your account settings, or ask us to at legal@cuehound.com. We may suspend or close accounts that break these Terms. Sections 6, 7, 9 and 10 continue to apply after your use ends.

We may update these Terms. We will change the effective date above, and for significant changes we will email account holders and people on the updates list before they take effect. Changes to section 9 do not apply to a dispute either of us has already notified to the other.

9. Governing law and disputes (arbitration and class-action waiver)

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. This section 9 is governed by the Federal Arbitration Act.

Informal resolution first. Before starting a claim, the party with the claim will send the other a written notice with their name, the email address on their account (if any), a description of the claim and what they want (to us at legal@cuehound.com). We will both try in good faith to resolve it informally for 60 days. Time limits for bringing the claim are paused during those 60 days.

Arbitration. Any dispute that is not resolved informally will be resolved by binding individual arbitration administered by JAMS under its applicable rules, including its Consumer Minimum Standards where they apply and its Mass Arbitration Procedures where 25 or more similar claims are filed by the same or coordinated counsel. Hearings will be held by video unless the arbitrator decides an in-person hearing is needed; any in-person hearing will be in the US county where you live or, if you prefer, in Lake County, Florida.

Fees. Where JAMS’s Consumer Minimum Standards apply, fees are paid as those standards require. Otherwise, for an arbitration you start, we will pay all JAMS and arbitrator fees beyond the amount you would have paid to file the claim in court, unless the arbitrator finds your claim frivolous. Each party pays its own lawyers’ fees unless the law or the arbitrator’s award says otherwise.

Who decides. A court, not an arbitrator, decides any dispute about whether this section 9 (including the class-action waiver and the mass-arbitration terms) is valid, enforceable or applies to a claim.

No class actions. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative action. If this paragraph is found unenforceable for a claim, that claim will proceed in court and not in arbitration.

Exceptions. Either party may instead bring an individual claim in small-claims court, or ask a court for an injunction for misuse of intellectual property or of the service. If the law gives you a right to seek public injunctive relief that cannot be waived, a court will decide that request after any individual claims have been arbitrated.

Opting out. You may opt out of arbitration and the class-action waiver by emailing legal@cuehound.com within 30 days of first accepting these Terms, with your name and the email address on your account. Opting out does not affect the rest of these Terms, and it stays in effect for later versions of them.

Changes to this section. If we make a significant change to this section 9, you may reject it by emailing legal@cuehound.com within 30 days of the change taking effect. If you do, the version of this section you last accepted continues to apply to you.

Courts. Any court proceeding permitted by this section, including to enforce an arbitration award, will be in the state courts for Lake County, Florida, or the US District Court for the Middle District of Florida.

If you are a consumer in the UK or EU, nothing in this section removes the protection of the mandatory laws of the country where you live, or your right to bring a claim in your local courts.

10. General

These Terms and our Privacy Policy are the whole agreement between us about CueHound. If any part of these Terms is found unenforceable, the rest stays in effect.
